Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of TackPilot's services, website, and mobile application (collectively, the "Service") operated by TackPilot, Inc. ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Service description

TackPilot is a SMS-based coordination platform for contractors to manage jobs, tasks, crew assignments, and communication.

Accounts and registration

To use our Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

Subscription and payment

TackPilot operates on a subscription basis. By subscribing, you agree to:

• Pay the subscription fees as specified on our pricing page
• Automatic recurring billing on a monthly basis
• Payment processing through Stripe, our third-party payment processor

Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

Free trial (if applicable)

If you sign up for a free trial:

• The trial period will be specified at sign-up
• No payment is required during the trial
• Your subscription will automatically begin at the end of the trial unless you cancel
• You may cancel at any time during the trial period

Cancellation and refunds

You may cancel your subscription at any time by contacting hello@tackpilot.com. Upon cancellation:

• You will retain access until the end of your current billing period
• No refunds will be issued for partial months
• Your data will be retained for 30 days after cancellation, then permanently deleted

Acceptable use

You agree NOT to:

• Use the Service for any illegal purpose
• Transmit spam, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with other users' use of the Service
• Reverse engineer or attempt to extract source code
• Use the Service to harass, abuse, or harm others
• Violate any applicable laws or regulations

User content

You retain ownership of all content you submit to the Service (job details, messages, tasks, etc.). By submitting content, you grant us a license to use, store, and display that content solely to provide the Service.

You are responsible for:

• The accuracy and legality of your content
• Backing up your important data
• Ensuring you have rights to any content you submit

Intellectual property

The Service, including all software, designs, text, graphics, and logos, is owned by TackPilot, Inc. and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works without our express written permission.

SMS Communications and Consent

TackPilot Notifications is an SMS-based coordination program. By creating an account and providing your mobile phone number, you agree to receive transactional SMS notifications related to project coordination, task assignments, and account updates.

How You Consent

When you register for a TackPilot account at app.tackpilot.com:

• You must provide a valid mobile phone number.
• You must check an explicit box labeled "I agree to receive SMS notifications for project coordination."
• Disclosure: "By providing your phone number and creating an account, you agree to receive SMS notifications about job assignments and task updates. Message and data rates may apply. Message frequency varies. Reply STOP to opt out, HELP for help."

What Messages You'll Receive

You consent to receive transactional SMS messages including:

• New job assignments and crew notifications.
• Task updates, schedule changes, and completion confirmations.
• Payment processing and account security alerts.
• Direct responses to your inquiries sent via SMS.

How to Opt Out

You can cancel the SMS service at any time. Just text STOP to our number. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time or text START, and we will resume sending SMS messages to you.

Message and Data Rates

Standard message and data rates from your mobile carrier may apply. TackPilot does not charge for SMS notifications, but your carrier may apply standard messaging rates.

Third-party services

Our Service integrates with third-party services including:

• Stripe (payment processing)
• Twilio (SMS delivery)
• AWS (hosting and infrastructure)

Your use of these services is subject to their respective terms and privacy policies.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• All errors will be corrected
• The Service will meet your specific requirements

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACKPILOT, INC. SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Lost profits, data, or business opportunities
• Damages exceeding the amount you paid us in the past 12 months

Indemnification

You agree to indemnify and hold harmless TackPilot, Inc. from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

Changes to terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use after changes constitutes acceptance of the new Terms.

Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay subscription fees

Upon termination, you must cease all use of the Service.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Dispute resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
